Article Overview
One of the first decisions when starting a business in Dubai is whether to register in a free zone or on the mainland. Both allow full foreign ownership for most activities, but they differ in where you can trade, what office you need and how many visas you can obtain. The right choice depends on who your customers are and how you plan to grow.
The short answer
- Choose a free zone if you mainly trade internationally, sell online, provide services to clients outside the UAE or want a simpler, lower-cost start.
- Choose the mainland if you want to sell directly to customers anywhere in the UAE, open shops or branches across the city, or bid for government contracts.
What is a free zone company?
Dubai has more than 20 free zones, each run by its own authority and often focused on a sector, such as media, technology, trade or logistics. A free zone company is licensed by that authority and can usually operate within the free zone and internationally. Free zones typically offer packaged licences that include a flexi-desk or small office and a set number of visas.
What is a mainland company?
A mainland company is licensed by the Dubai Department of Economy and Tourism (DET). Since reforms in 2021, most commercial and industrial activities allow 100% foreign ownership on the mainland, although some strategic activities still have restrictions. A mainland company can trade anywhere in the UAE and contract directly with local businesses and government entities.
Side-by-side comparison
Ownership
Both allow full foreign ownership for most activities. On the mainland, check whether your specific activity requires a local partner or special approval.
Where you can trade
Free zone companies can trade freely within their zone and abroad, but selling directly to the UAE local market usually needs a local distributor or an additional permit. Mainland companies can trade anywhere in the UAE without these limits.
Office requirements
Free zones often accept flexi-desks or shared offices for small businesses. Mainland companies generally need a physical office space with a registered tenancy contract (Ejari), which affects both cost and visa quota.
Visas
In a free zone, the number of visas usually depends on your licence package and office size. On the mainland, the visa quota is linked to your office space and approvals from the relevant ministries.
Costs
Free zone packages are often cheaper to start with, especially for one-person businesses. Mainland setups can cost more because of office rent and additional approvals, but they may open more revenue opportunities in the local market.
Corporate tax
The UAE introduced a federal corporate tax in 2023. Qualifying free zone companies may benefit from a 0% rate on qualifying income if they meet the conditions, while other income is taxed at the standard rate. Speak to a tax adviser about how this applies to your business model.
Which activities fit where?
- E-commerce and digital services for international clients: often a free zone.
- Consultancy serving UAE companies: either, depending on your clients; mainland gives more flexibility.
- Retail shops, restaurants and local services: usually mainland.
- Import and re-export trading: often a free zone near ports or airports.
- Government contracting: mainland.
The setup process in brief
- Choose your business activity and legal form.
- Decide between free zone and mainland, and select the authority.
- Reserve a trade name and obtain initial approval.
- Arrange office space or a flexi-desk.
- Submit documents and receive your trade licence.
- Open a corporate bank account and apply for residence visas.
Common mistakes
- Choosing a free zone and later finding you need to sell mainly to UAE customers.

- Underestimating the time needed to open a corporate bank account.
- Forgetting renewal costs when comparing packages.
